1. Agreement to Terms

Welcome to Advisa. These Terms of Service ("Terms") govern your access to and use of the Advisa website, platform, and services (collectively, the "Services") operated by Advisa, LLC ("Advisa," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

Advisa is a matching platform that connects consumers seeking financial advice with independent financial advisors. Our Services include:

• A directory of financial advisors searchable by location, specialty, and other criteria
• Advisor profiles containing information about their credentials, services, and client reviews
• Tools to request consultations or quotes from multiple advisors
• Educational content about financial planning topics

Important: Advisa is not a financial advisor, broker-dealer, investment adviser, or insurance company. We do not provide financial, investment, tax, or legal advice. The advisors listed on our platform are independent professionals, and Advisa does not employ, endorse, or guarantee the services of any advisor.

3. User Eligibility

To use our Services, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using our Services, you represent and warrant that you meet these requirements.

4. User Accounts and Information

When you submit an inquiry or create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

You agree not to:

• Provide false or misleading information
• Use another person's identity or information without authorization
• Use the Services for any fraudulent or unlawful purpose
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services

5. Advisor Information and Verification

We strive to display accurate information about advisors on our platform. Advisor profiles may include information obtained from public sources, including FINRA BrokerCheck, SEC Investment Adviser Public Disclosure, state regulatory databases, and information provided directly by advisors.

While we make reasonable efforts to verify advisor credentials and regulatory standing, we do not guarantee the accuracy, completeness, or timeliness of any information displayed. Users are encouraged to independently verify advisor credentials through official regulatory sources before engaging any advisor's services.

The "FINRA Verified" badge indicates that we have cross-referenced an advisor's information with FINRA's BrokerCheck database. It does not constitute an endorsement or guarantee of the advisor's services.

6. No Advisory Relationship

Your use of the Services does not create any fiduciary, advisory, or professional relationship between you and Advisa. Any relationship you establish with an advisor through our platform is solely between you and that advisor. Advisa is not a party to any agreement you may enter into with an advisor and has no responsibility for the services provided by any advisor.

7. User Reviews and Content

Users may submit reviews, ratings, and other content ("User Content") about advisors. By submitting User Content, you grant Advisa a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content in connection with our Services.

You represent that any User Content you submit is accurate and based on your genuine experience. You agree not to submit content that is false, defamatory, harassing, obscene, or otherwise objectionable. We reserve the right to remove any User Content at our discretion.

8. Intellectual Property

The Services, including all content, features, and functionality, are owned by Advisa and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not warrant the accuracy or reliability of any information obtained through the Services, including advisor profiles, reviews, or any content provided by third parties.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVISA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Services
• Any services or advice provided by advisors found through our platform
• Any unauthorized access to or alteration of your data
• Any third-party content or conduct on the Services

In no event shall our total liability exceed the amount you paid to Advisa, if any, in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Advisa and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

13. Termination

We may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
